Terms of Service
Last updated: August 31, 2026
These Terms of Service ("Terms") govern your access to and use of VNote at vnote.io.vn and its related features (the "Service").
By accessing or using VNote, you agree to these Terms. If you do not agree, do not use the Service.
1. About VNote
VNote is a lightweight, URL-based note application designed to let users open, write, revisit, and share notes with minimal setup.
A normal VNote user does not need to create a traditional end-user account. Notes are primarily identified by their unique note URLs.
VNote may provide features including:
- normal text notes;
- realtime synchronization;
- shareable note URLs;
- optional password protection;
- a richer article editor;
- image uploads for rich articles;
- note-related notifications;
- interface preferences stored in the browser; and
- optional audio transcription.
Features may be added, changed, limited, suspended, or removed over time.
2. Eligibility
You may use VNote only if you are legally able to agree to these Terms under the laws applicable to you.
If you are under the age at which you can independently agree to online-service terms in your jurisdiction, you may use VNote only with any permission or supervision required by applicable law.
If you use VNote on behalf of an organization, you represent that you have authority to accept these Terms for that organization.
3. Note URLs and Access Responsibility
VNote is built around shareable note URLs.
Unless password protection is enabled, any person who obtains a note URL may be able to view and edit that note.
You are responsible for:
- deciding who receives a note URL;
- avoiding accidental disclosure of sensitive note URLs;
- understanding that a forwarded, copied, logged, bookmarked, or otherwise exposed URL may allow another person to access the note; and
- enabling password protection when additional access control is appropriate.
A note URL by itself should not be treated as strong authentication for highly sensitive information.
If you use VNote on a shared or public device, you are responsible for taking reasonable steps to prevent later users of that device from accessing your notes, browser history, cookies, or locally stored draft information.
4. Password-Protected Notes
VNote may allow you to protect a note with a password.
VNote stores note passwords as cryptographic hashes rather than plaintext passwords and uses authentication tokens/cookies to authorize access.
However:
- password protection is an access-control mechanism, not end-to-end encryption;
- note content is not encrypted end-to-end by VNote;
- no authentication system can guarantee absolute security; and
- you remain responsible for choosing and protecting an appropriate password.
You should not reuse an important password from another service as a VNote note password.
5. Your Content
"Your Content" means text, titles, author information, articles, images, audio, transcripts, and other material that you submit to or through VNote.
As between you and VNote, you retain any ownership rights you already have in Your Content.
You grant VNote a limited, non-exclusive, worldwide license to host, store, reproduce, transmit, process, display, and technically modify Your Content only as reasonably necessary to operate, secure, maintain, and provide the Service, including through third-party infrastructure and service providers.
This license ends when the relevant content is deleted from active VNote systems, except to the extent that temporary backups, legal obligations, technical delays, or third-party processing require limited continued retention.
You represent that you have the rights and permissions necessary to submit Your Content and to allow VNote to process it as described in these Terms and the Privacy Policy.
6. Shared and Collaborative Notes
When multiple people access the same note, changes may be synchronized between connected clients.
VNote's realtime note behavior is not a conflict-free collaborative document system. Concurrent edits may use a last-write-wins model or otherwise result in one user's changes replacing another user's changes.
You acknowledge that:
- concurrent editing can create conflicts;
- network delays can affect the order in which changes are saved;
- unsaved or recently edited content may be lost in exceptional failure conditions; and
- VNote should not be treated as the sole authoritative copy of critical information.
Keep separate backups of important content.
7. Rich Editor and Image Uploads
The rich editor may allow image uploads.
VNote currently uses Cloudinary to host rich-editor images. Uploaded images are processed and stored through Cloudinary and may be served from direct asset URLs.
You must not upload images that:
- you do not have the right to use;
- unlawfully disclose another person's personal information;
- contain illegal content;
- violate intellectual-property, privacy, publicity, or other rights; or
- contain highly sensitive or confidential information where exposure through a direct media URL would create unacceptable risk.
Cloudinary's own terms and privacy practices apply to its processing. See the Cloudinary Privacy Policy.
VNote may delete unused or unreferenced uploaded images as part of content cleanup or note deletion.
8. Audio Transcription
VNote may provide optional speech-to-text transcription.
When you use transcription, your audio is temporarily uploaded to VNote and sent to Deepgram for processing. VNote deletes the temporary local audio file after transcription processing finishes.
You are responsible for ensuring that you have all rights, permissions, notices, and consents required to record, upload, and transcribe the audio, including where the recording contains another person's voice or personal information.
You must not use the transcription feature to unlawfully record, monitor, intercept, or process another person.
Transcription results may contain errors. You are responsible for reviewing the output before relying on it for legal, medical, financial, safety-critical, employment, academic, or other important decisions.
Deepgram's terms and privacy practices apply to its processing. See the Deepgram Privacy Policy.
9. Acceptable Use
You agree not to use VNote to:
- violate applicable law or regulation;
- infringe intellectual-property, privacy, publicity, confidentiality, or other rights;
- distribute malware, malicious scripts, phishing content, credential-stealing material, or harmful code;
- gain unauthorized access to VNote, another user's note, infrastructure, or connected systems;
- bypass or interfere with authentication, access controls, rate limits, validation, or security measures;
- probe, scan, or test vulnerabilities without authorization;
- overload, disrupt, degrade, or interfere with the Service or its infrastructure;
- automate abusive traffic or use the Service in a way that imposes unreasonable resource demands;
- impersonate another person or falsely represent authority to share content;
- publish unlawful threats, harassment, exploitation, or other prohibited content;
- upload content that you know you have no right to process or share; or
- use VNote to facilitate fraud, abuse, or other unlawful conduct.
Security research must not damage data, disrupt service, access other users' content, or exceed authorization.
10. Privacy
Our handling of information is described in the VNote Privacy Policy.
By using the Service, you acknowledge that VNote may process information as necessary to operate features you choose to use, including storage of note content, Cloudinary-backed image hosting, and Deepgram-backed audio transcription.
VNote is not an end-to-end encrypted service. Do not store information in VNote if you require an end-to-end encrypted storage system.
11. Browser Storage and Local Drafts
VNote may use browser storage to remember preferences and maintain temporary pending drafts.
You acknowledge that:
- local drafts may contain text from your note;
- other people with access to your browser profile or device may be able to access browser-stored data;
- clearing browser data may remove locally stored preferences or pending drafts; and
- VNote cannot guarantee recovery of locally stored data after browser deletion, device failure, private-browsing cleanup, or similar events.
12. Service Availability and Changes
VNote is provided on an evolving basis.
We may, at any time and without guaranteeing advance notice:
- modify features;
- change technical limits;
- perform maintenance;
- suspend parts of the Service;
- change third-party providers;
- remove obsolete functionality; or
- discontinue the Service.
We do not guarantee that VNote will be available continuously, error-free, or indefinitely.
You are responsible for maintaining independent copies of important content.
13. Note Moderation, Restriction, and Deletion
VNote may disable, restrict, remove, or delete a note or other content when we reasonably believe this is necessary to:
- address a violation of these Terms;
- comply with law or a valid legal request;
- protect VNote, its infrastructure, users, or third parties;
- investigate abuse or security incidents;
- prevent technical harm;
- remove empty, abandoned, or invalid data as part of reasonable maintenance; or
- maintain the reliability and integrity of the Service.
Administrative actions may include disabling access, ending active sessions, deleting note data, deleting associated rich-editor files, and requesting deletion of associated hosted images.
Because VNote may use backups and third-party storage systems, removal from all systems may not occur simultaneously.
14. Third-Party Services
Some VNote features depend on third-party services, including Cloudinary and Deepgram.
Third-party services are outside VNote's direct control and may experience outages, change their products, apply their own terms, or process data under their own privacy policies.
VNote is not responsible for independent third-party services except to the extent responsibility cannot be excluded under applicable law.
15. Intellectual Property of VNote
Except for Your Content and third-party materials, the VNote Service, including its software, design, branding, text, graphics, and other materials, is owned by VNote or its applicable licensors and is protected by applicable intellectual-property laws.
These Terms give you permission to use the Service; they do not transfer ownership of VNote's intellectual property to you.
You may not copy, sell, sublicense, or commercially exploit VNote's proprietary software or branding except as permitted by applicable law or with prior authorization.
16. Feedback
If you voluntarily provide suggestions, bug reports, ideas, or other feedback about VNote, you allow us to use that feedback to improve the Service without an obligation to compensate you, provided that we do not claim ownership of Your Content merely because it was included incidentally in a bug report or support request.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, VNote is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory.
We do not warrant that:
- the Service will always be available;
- data will never be lost, overwritten, corrupted, or disclosed;
- every synchronization or save operation will complete successfully;
- transcription output will be accurate;
- third-party services will remain available;
- note URLs or passwords will prevent every unauthorized access attempt; or
- the Service will meet every user's particular requirements.
Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by applicable law, VNote and its operator will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of data, profits, revenue, business opportunity, goodwill, or other intangible losses arising from or related to your use of the Service.
This includes losses resulting from:
- loss or overwriting of note content;
- unauthorized access caused by disclosure of a note URL or password;
- concurrent-edit conflicts;
- browser-storage loss;
- third-party service failures;
- inaccurate transcription;
- service interruption; or
- deletion, disabling, or restriction performed in accordance with these Terms.
Where applicable law does not allow a particular exclusion or limitation, that exclusion or limitation applies only to the maximum extent permitted by law.
19. Indemnity
To the extent permitted by applicable law, you agree to be responsible for claims, losses, liabilities, and reasonable costs arising from:
- Your Content;
- your unlawful or unauthorized use of the Service;
- your violation of these Terms; or
- your violation of another person's rights.
This section does not apply where prohibited by mandatory consumer-protection law.
20. Suspension and Termination
You may stop using VNote at any time.
We may suspend or terminate access to all or part of the Service, or disable specific notes, where reasonably necessary for security, legal compliance, abuse prevention, maintenance, or enforcement of these Terms.
Sections that by their nature should survive termination—including provisions concerning ownership, disclaimers, liability, and disputes—will continue to apply to the extent permitted by law.
21. Governing Law
To the extent permitted by mandatory law, these Terms and disputes arising from them are governed by the laws of Vietnam, without regard to conflict-of-laws principles.
Mandatory consumer, privacy, or other protections that apply to you in your jurisdiction are not waived where they cannot legally be waived.
Before beginning formal legal proceedings, you and VNote are encouraged to attempt in good faith to resolve the issue by contacting each other first, unless applicable law provides otherwise or urgent relief is necessary.
22. Changes to These Terms
We may update these Terms when the Service, applicable law, security requirements, or third-party dependencies change.
The Last updated date at the top of this page indicates the most recent revision.
If a change is material, we may provide additional notice through the Service where appropriate.
Your continued use of VNote after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
23. General Terms
If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.
A failure to enforce a provision immediately does not waive the right to enforce it later.
These Terms, together with the Privacy Policy and any additional terms expressly presented for a specific VNote feature, form the agreement governing your use of the Service.
